Net asset test, liquidity test and the board report, from the enterprise number

Every distribution by a Belgian BV needs two tests and a report by the board. We fetch the last annual accounts from the National Bank. You add the distribution and the cash forecast. You get the result and a draft report in Dutch or French.

What the law requires

No distribution may be made if the company's net assets are negative or would become negative as a result (translated).
The general meeting's decision to distribute only takes effect after the board has found that the company [...] will remain able to pay its debts [...] for at least twelve months (translated).

The board justifies that decision in a report that is not filed. If the directors knew, or should have known, that the company would clearly no longer be able to pay its debts after the distribution, they are jointly and severally liable (art. 5:144 WVV).

How it works

  1. Enter the enterprise numberWe read the last filed annual accounts at the Central Balance Sheet Office and prefill equity, formation costs, unavailable reserves, current assets and debts due within one year.
  2. Add the distribution and cash forecastAmount, date and, per month, the expected receipts and payments for the twelve months after the distribution. You can also spread a yearly total.
  3. Result and draft reportMet or not met per test, with the figures. You print the report or save it as PDF, in Dutch or French.

Included: the UBO calendar for all your clients

The data in the UBO register must be updated or confirmed at least yearly (Royal Decree of 30 July 2018, art. 5) and a change must be reported within the month (art. 1:35 WVV). For each client that deadline falls on a different date.

You upload your client list with enterprise numbers and the date of the last confirmation. We e-mail you 30 days before each due date, and again once it has passed. Every week we check the KBO for changes to a client's directors, legal form, seat or status, and flag them.

What we do not do: we do not log in to the UBO register. That needs an eID or a mandate. You get reminders and a checklist; you do the confirmation itself in the register. A change of shareholders is not in the KBO, so you follow that up yourself.

What it costs

€ 493-month pilot for your firm, excl. VAT (VAT depends on your country). Unlimited tests and clients in the UBO calendar. Payment through Mollie. You can try first without paying: signing up is free.

Questions

Where do the figures come from?

From the last annual accounts the company filed with the Central Balance Sheet Office of the National Bank, through the public consultation. If the company only filed a PDF, or you use a more recent statement of assets and liabilities, you enter the amounts yourself. Every prefilled amount stays editable.

Must an auditor review the report?

Only if the company has appointed a statutory auditor (commissaris). The auditor then assesses the historical and forecast data in the report (art. 5:143 WVV). The report itself is not filed.

Does the tool make the decision?

No. The board makes the finding and stays liable (art. 5:144 WVV). The tool calculates, shows the result and writes a draft that the board completes, discusses and signs.

Do you log in to the UBO register?

No. That needs an eID or a mandate, and that stays with you. We track the dates, send reminders and flag changes in the KBO. You do the confirmation itself in the register.

Does it work for an NV?

No. This tool follows the rules for the BV (art. 5:142 to 5:144 WVV). Other rules apply to an NV.
